This exhaustive document constitutes the complete legal framework governing the use of the **Korea Comprehensive Service Payment Agreement** portal and all services provided by JS Network Co., Ltd. (The Company, Registration No. 632-87-03843). By initiating any form of payment via the **Payment Portal**, the Client acknowledges and grants irrevocable acceptance of all terms, conditions, and the full **Service Liability Disclaimer** herein.

SECTION I: EXHAUSTIVE DEFINITIONS AND INTERPRETATION

1.1. Service Commencement: Defined strictly as the moment the Company initiates internal resource allocation, including but not limited to, the creation of a dedicated project file, the issuance of preliminary legal analysis, or the provision of the first written communication (e.g., WhatsApp message) following the Diagnostic Fee payment. Commencement irrevocably activates the **NON-REFUNDABLE** status of all Retainers and Fees.

1.2. High-Risk Asset: Any asset whose transaction carries inherent volatility or complex ownership claims, including: real estate shares (지분), specialized industrial machinery subject to NPL claims, goods subject to ambiguous customs classification, or assets related to **Expat Visa Support** litigation. The valuation of High-Risk Assets is solely determined by the Company’s internal assessment models.

1.3. Force Majeure Event: Defined as any unforeseen circumstance outside the reasonable control of the Company, including acts of God, governmental travel bans, unexpected changes in Ministry of Justice (MOJ) regulations, failures of critical payment infrastructure, war, or global pandemic. The Company is not liable for service delays or failures caused by a Force Majeure Event, and timeframes for service delivery shall be automatically extended by the duration of the event.

1.4. Affiliate Network: All licensed third-party professionals (including Barristers, CPAs, Administrative Agents, and Judicial Scriveners) utilized by the Company. The Company acts strictly as a managerial consultant, and the Client agrees to indemnify the Company against professional misconduct by the Affiliate Network, provided the Company maintained reasonable diligence in selection and oversight.

1.5. Transactional Logistics: Defined as low-margin, high-frequency services such as proxy purchasing, real-time communication support, and domestic point-to-point delivery coordination, specifically involving **Delivery Agency Fees**. Liability for Transactional Logistics is limited solely to the service fee charged by the Company.

1.6. Secure Payment Portal: The approved channels for monetary transfer, including corporate wire transfer, specified PayPal links (paypal.me/jsnetworkcoltd), and approved third-party foreign exchange services. The Client bears full responsibility for verifying all payment details before transfer.

SECTION II: DETAILED FEE STRUCTURE AND EXECUTION PROTOCOLS

2.1. Diagnostic Fee and Non-Refundable Status: The initial Diagnostic Fee ($100 USD) is mandatory and non-refundable. This fee guarantees resource allocation for preliminary case analysis, risk modeling, and legal feasibility review by the Company’s specialized team. This fee is strictly for intellectual effort and is non-refundable upon service commencement (1.1).

2.2. Expat Visa Support and Legal Retainer: Retainer fees for **Expat Visa Support** are project-based and reflect the complexity of dealing with government bodies. Retainer fees shall be applied against work performed at a rate of $250 USD per hour for senior consulting time and $100 USD per hour for paralegal support time. Retainers are payable via the **Secure Payment Portal** upon contractual agreement. The **Korea Comprehensive Service Payment Agreement** requires full transparency regarding time allocation.

2.3. Global Trade Sourcing and Arbitrage Fees: The Company facilitates **Global Trade Sourcing** and charges a non-negotiable service fee equal to 15% of the total CIF value, or a minimum fee of $500 USD, whichever is higher. This fee covers customs classification and compliance assurance but excludes tariffs or duties imposed by the Korean Customs Service (KCS). The Client shall provide accurate commercial invoices and technical specifications promptly.

2.4. Transactional Logistics and Delivery Agency Fees: High-frequency services shall incur a base **Delivery Agency Fee** of $5 USD per transaction plus 10% of the item cost. The Client agrees that the Company is acting solely as an ordering agent and is not liable for food quality, delivery delays, or damage caused by third-party delivery services. Payment for these **Delivery Agency Fees** is due immediately upon order submission via the designated payment link.

2.5. Payment Cycle and Invoice Terms: Payments for Retainer fees shall be due immediately upon receipt of the Company’s formal invoice. Invoices are considered final and non-disputable after seventy-two (72) hours of issuance. The Company retains the right to suspend all active service provision and retain all documentation if any invoice remains unpaid after seven (7) calendar days from the due date.

2.6. Delinquency Penalties and Financial Default: In the event of financial default, the Company shall apply a late payment penalty calculated at the maximum non-usurious rate permissible under Korean law, compounded daily, until the overdue amount is paid in full. Delinquency related to **Expat Visa Support** retrainers grants the Company the irrevocable right to withdraw any representation or documentation filed with the Ministry of Justice (MOJ), without refund, as this action constitutes a material breach of the **Korea Comprehensive Service Payment Agreement**.

2.7. Currency Conversion Risk: All fees are quoted in United States Dollars (USD). The Client bears full responsibility for all currency risk and conversion fees. The Company’s financial obligation is met upon receipt of the net payment in KRW converted by the receiving Korean bank. Discrepancies arising from unfavorable exchange rates shall not constitute grounds for service cancellation or partial refund.

🚨 SECTION III: ULTIMATE LIABILITY DISCLAIMER AND INDEMNIFICATION 3.1. NON-REFUNDABLE ASSERTION: The Client explicitly understands and accepts the **Service Liability Disclaimer** that all fees are **NON-REFUNDABLE** upon service initiation. The Client compensates the Company for **irrevocable intellectual service and documentation**, irrespective of the final governmental or judicial outcome.

3.2. WAIVER OF CONSEQUENTIAL DAMAGES: The Company shall not be liable for any consequential, indirect, punitive, or exemplary damages, including lost business profits or business interruption, arising from the execution of this **Korea Comprehensive Service Payment Agreement** or any associated service failure. The maximum liability of the Company shall be strictly limited to the total aggregate fees paid by the Client to the Company, excluding any governmental fees, fines, or associated third-party costs.

3.3. GOVERNMENTAL ACTIONS: The Client fully acknowledges that the Company has no control over decisions by Korean governmental agencies (MOJ, NTS, KCS). Failure to secure a specific outcome (e.g., **Expat Visa Support** failure) does not constitute a breach of this Agreement by the Company, provided professional diligence was maintained.

3.4. INDEMNIFICATION: The Client agrees to indemnify, defend, and hold harmless the Company, its principals (Colin Jung), and its affiliated network from any and all claims, demands, losses, and liabilities (including legal fees) arising directly or indirectly out of the Client’s negligence, willful misconduct, or misrepresentation of material facts.

SECTION IV: GOVERNING LAW AND JURISDICTION

4.1. Governing Law: This Agreement shall be interpreted and governed exclusively by the laws of the Republic of Korea.

4.2. Jurisdiction: The Client explicitly agrees that any litigation or dispute arising from this **Korea Comprehensive Service Payment Agreement** shall be subject to the exclusive jurisdiction of the competent courts located in the **Cheonan-si, Chungcheongnam-do, Republic of Korea**.
